Refund Policy

This Refund Policy forms part of, and is to be read together with, the Terms of Service and the applicable Service Order (collectively, the "Agreement") between the Subscriber and Appsecure Security Ventures Pte. Ltd. (the "Service Provider"). Capitalized terms used but not defined herein shall have the meanings given to them in the Terms of Service. In the event of any conflict between this Refund Policy and the Service Order, the Service Order shall prevail.

1. General Principle — Fees Are Non-Refundable

All Fees paid by the Subscriber are non-refundable, whether paid in advance, in installments, or otherwise, except where expressly required by Applicable Laws. The Subscriber acknowledges that the Services consist of specialized cybersecurity work (including vulnerability assessments, penetration testing, risk and threat analyses, and related consultancy) and that the Service Provider commits personnel, tooling, and other resources to each engagement from the outset.

2. No Refund Once an Engagement Has Commenced

Once the provision of any Service under a Service Order has commenced, the corresponding Fees are fully earned and non-refundable. The Subscriber agrees that, upon commencement, the Service Provider has already expended effort, allocated resources, and reserved capacity for the engagement, and that such effort cannot be recovered or reallocated. For the purpose of this Policy, an engagement shall be deemed to have "commenced" upon the earlier of (a) the Service Provider beginning any scoping, onboarding, configuration, or testing activity; (b) the allocation or scheduling of personnel to the engagement; or (c) the date specified as the start date in the relevant Service Order.

3. Advance Payments

Consistent with Clause 5.2 of the Terms of Service, any advance payments made by the Subscriber toward Fees are non-refundable if the Subscriber cancels the respective Services prior to or during the Engagement Term.

4. Annual Commitment — Quarterly or Bi-Yearly Billing.

Where a Subscriber subscribes to an engagement on an annual basis, the Subscriber commits to the full one (1) year term, regardless of whether the associated Fees are invoiced or paid quarterly, bi-yearly, or in any other installment schedule. Such installment billing is provided solely as a payment convenience and does not reduce, shorten, or alter the Subscriber's commitment to the full annual term. Accordingly:

(a) If the Subscriber discontinues, opts out of, declines, or otherwise does not proceed with any subsequent quarter, half-year, or other installment period within the annual term, the Subscriber shall not be entitled to any refund of Fees already paid; and

(b) The full Fees for the entire one (1) year term shall remain due and payable, and any unpaid balance for the remainder of the annual term shall become immediately due and payable upon such discontinuance or opt-out, together with any applicable interest under Clause 5.4 of the Terms of Service.

5. Termination by the Subscriber

Termination, cancellation, or non-renewal of the Agreement or any Service Order by the Subscriber, for any reason other than an uncured material breach by the Service Provider, shall not entitle the Subscriber to any refund of Fees paid or relieve the Subscriber of its obligation to pay all outstanding Fees and Total Dues in accordance with Clauses 5 and 6 of the Terms of Service.

6. Disputed Invoices

Nothing in this Refund Policy limits the Subscriber's right to dispute an invoice in accordance with the dispute procedure set out in Clause 5.3 of the Terms of Service. Refunds, where applicable and agreed in writing by the Service Provider or determined through the dispute resolution procedure under Clause 14.11, shall be limited strictly to amounts found to have been incorrectly or improperly charged.

7. International Data Transfers

As a company based in Singapore, your data may be transferred to and processed in countries outside your own. By using our Services, you consent to such transfers in accordance with this Privacy Policy.

8. No Other Refunds

Save as expressly set out in this Refund Policy, or as otherwise agreed in writing by the Service Provider, no refunds shall be issued under any circumstances.
